UPM has reached an agreement with SMARTRAC N.V. today whereby UPM sells its RFID business to SMARTRAC. UPM will become an indirect shareholder of SMARTRAC with a 10.6 percent economic interest through the company OEP Technologie B.V. The closing of the deal is expected to take place during the first quarter of 2012. The transaction is still subject to regulatory approvals.
SMARTRAC N.V., a leading developer, manufacturer, and supplier of RFID transponders, announced that the company has reached an agreement with UPM-Kymmene Corporation (UPM) today by which SMARTRAC N.V. (SMARTRAC) will take over UPM’s RFID business while UPM-Kymmene Corporation will become an indirect stockholder of SMARTRAC. The transaction is still subject to certain customary conditions, including regulatory approvals.

MARTRAC N.V., a leading developer, manufacturer, and supplier of RFID transponders, announced that the company today signed an agreement regarding the acquisition of Neology, Inc.. Under the terms of the agreement, SMARTRAC will acquire Neology for US $ 30.0 million, on a cash and debt free basis. In addition, the parties have agreed on an earn-out component of up to US $ 9.0 million based on results of operations for the years 2011 and 2012. Tenedora de Empresas S.A. de C.V. (Tenedora), the current majority shareholder in Neology, Inc., will retain a 15 percent stake in Neology and has agreed to re-invest any earn-out payments it may receive into the combined company. The acquisition is subject to customary closing conditions and is expected to close by the end of the year.
SMARTRAC N.V., a leading developer, manufacturer, and supplier of RFID transponders, announced that the company expects to restart production in Thailand in the course of December 2011 already. The earlier than expected restart date is a result of the positive progress of the draining activities in the Hi-Tech Industrial Estate conducted by the local authorities. Currently, the water level in the industry park has dropped to a height of approximately 30 centimeters which makes it open to traffic by car and truck.
